About these Terms **1.1 Scope.** These Terms of Use (“Terms”) govern your access to and use of capibaraai.com and any other website that links to these Terms (the “Site”). **1.2 Operator.** The Site is operated by Tena & Fura LLC, a Florida limited liability company (“Tena & Fura,” “we,” “us,” or “our”). Capibara is a product of Tena & Fura LLC. **1.3 Acceptance.** By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. **1.4 Use on behalf of an organization.** If you use the Site on behalf of a company or other organization, you represent that you have authority to bind it. In that case, “you” includes that organization. ## 2. Other agreements that apply **2.1 The Capibara platform.** These Terms cover the Site only. Access to and use of the Capibara platform, including any trial, pilot, or Founding Customer Program, is governed by a separate written agreement between you and Tena & Fura (a “Customer Agreement”). **2.2 Order of precedence.** If these Terms conflict with a Customer Agreement, the Customer Agreement controls with respect to the Capibara platform. **2.3 Privacy.** Our Privacy Policy at [capibaraai.com/privacy](https://www.capibaraai.com/privacy?hsLang=en) explains how we collect, use, and share personal information obtained through the Site. **2.4 Additional terms.** Specific events, programs, or community spaces we offer may have their own terms. Those terms will be presented with the event, program, or space and apply in addition to these Terms. ## 3. Using the Site **3.1 Eligibility.** The Site is intended for business and professional use. You must be at least 18 years old to use it. **3.2 Permitted use.** You may use the Site to learn about and evaluate our products and services, to contact us, and for your internal business purposes, in each case in compliance with these Terms and applicable law. **3.3 Prohibited conduct.** You will not, and will not permit anyone else to: - use the Site in violation of any law or any third party’s rights; - copy, scrape, crawl, or harvest the Site or its content by automated means, except for public search engines that follow our robots.txt instructions; - use Site content to train, fine-tune, or develop any machine learning model or artificial intelligence system without our prior written consent; - probe, scan, or test the vulnerability of the Site, or bypass any security or access control; - interfere with the operation of the Site, including by introducing malware or placing an unreasonable load on our infrastructure; - reverse engineer, decompile, or disassemble any software or interactive feature made available through the Site; - frame, mirror, or republish the Site or its content, or remove any copyright, trademark, or other proprietary notice; - submit false or misleading information, or impersonate any person or organization. **3.4 Information you provide.** Information you submit through the Site, such as in a demo request or contact form, must be accurate and must be information you have the right to share. ## 4. Intellectual property **4.1 Ownership.** The Site and its content are owned by Tena & Fura or its licensors and are protected by copyright, trademark, and other laws. Content includes text, graphics, logos, product images and screenshots, videos, demos, templates, and software. **4.2 Limited license.** Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for the purposes described in Section 3.2. We reserve all rights not expressly granted. **4.3 Trademarks.** “Capibara,” “Tena & Fura,” and related names and logos are trademarks of Tena & Fura LLC. You may not use them without our prior written permission. Other names and logos on the Site belong to their respective owners. **4.4 Copyright complaints.** If you believe content on the Site infringes your copyright, send a written notice to [kyle@capibaraai.com](mailto:kyle@capibaraai.com). Include a description of the copyrighted work, the location of the content on the Site, your contact information, and a statement that you have a good-faith belief the use is not authorized. ## 5. Feedback and submissions **5.1 Feedback.** If you send us ideas, suggestions, or other feedback about the Site or our products, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without restriction or compensation to you. **5.2 No confidential information.** The Site’s forms, chat, and email links are not a channel for confidential information. Unless a signed non-disclosure agreement or a Customer Agreement between you and Tena & Fura says otherwise, we will treat what you submit through the Site as non-confidential. Personal information is handled as described in our Privacy Policy. **5.3 Communications.** If you give us your contact details, we may use them to respond to your request. You can opt out of marketing emails at any time using the unsubscribe link in the email. ## 6. Third-party services and links **6.1 Third-party services.** The Site may link to or embed websites and services we do not operate, such as scheduling tools, video hosts, social media, and community platforms. Your use of those services is governed by their own terms and privacy policies. **6.2 No endorsement.** A link or embed is provided for convenience and is not an endorsement. We are not responsible for the content, availability, or practices of third-party services. ## 7. Informational content **7.1 General information only.** Articles, guides, templates, calculators, case studies, and examples on the Site are provided for general information. They are not engineering, quality, regulatory, legal, financial, or other professional advice. You are responsible for your own decisions and for verifying anything you rely on. **7.2 Estimates and results.** Any figures on the Site about cost savings, schedule impact, or return on investment are illustrative. Actual results depend on your programs, suppliers, and data, and will vary. **7.3 Product descriptions.** Descriptions of features, pricing, availability, and planned capabilities may change without notice and are not commitments. Binding commitments about the Capibara platform appear only in a Customer Agreement. **7.4 Changes to the Site.** We may change, suspend, or discontinue any part of the Site at any time. ## 8. Disclaimers **8.1 As is.** THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENA & FURA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. **8.2 No guarantee of availability or accuracy.** WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT. **8.3 Platform warranties.** Any warranties for the Capibara platform are stated only in the applicable Customer Agreement. ## 9. Limitation of liability **9.1 Excluded damages.** TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENA & FURA AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS. **9.2 Cap.** TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). **9.3 Scope.** These limits apply to all claims, whether based on contract, tort (including negligence), statute, or any other theory, even if we have been advised of the possibility of the damages and even if a remedy fails of its essential purpose. **9.4 Exceptions.** Nothing in these Terms limits liability that cannot be limited under applicable law. Liability relating to the Capibara platform is governed by the applicable Customer Agreement, not this Section. ## 10. Indemnification **10.1 Your obligation.** You will defend, indemnify, and hold harmless Tena & Fura and its members, managers, officers, employees, and contractors from any third-party claim, and related losses, damages, and reasonable attorneys’ fees, arising out of: - your breach of these Terms; - your misuse of the Site; or - your violation of any law or any third party’s rights in connection with the Site. **10.2 Procedure.** We will notify you of the claim and may participate in the defense with our own counsel at our own expense. You will not settle a claim in a way that imposes liability or obligations on us without our prior written consent. ## 11. Suspension and termination **11.1 Our rights.** We may suspend or end your access to the Site at any time, with or without notice, including if we believe you have breached these Terms. **11.2 Effect.** When your access ends, the license in Section 4.2 ends with it. **11.3 Survival.** Sections 4, 5, 7 through 10, 12, and 14 survive any termination. ## 12. Governing law and venue **12.1 Governing law.** These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. **12.2 Venue.** The state and federal courts located in San Francisco County, California have exclusive jurisdiction over any dispute arising out of or relating to the Site or these Terms. You and Tena & Fura consent to personal jurisdiction and venue in those courts. **12.3 Equitable relief.** Either party may seek injunctive or other equitable relief in any court of competent jurisdiction. ## 13. Changes to these Terms **13.1 Updates.** We may update these Terms from time to time. We will post the revised version on the Site with a new effective date. **13.2 Acceptance of changes.** Your use of the Site after the effective date of a revised version means you accept it. Changes do not apply to disputes that arose before the effective date. ## 14. General provisions **14.1 Entire agreement.** Subject to Section 2, these Terms are the entire agreement between you and Tena & Fura regarding the Site and supersede any prior understandings about it. **14.2 Severability.** If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will stay in effect. **14.3 No waiver.** Our failure or delay in enforcing any right under these Terms is not a waiver of that right. **14.4 Assignment.** You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate or to a successor in a merger, acquisition, reorganization, or sale of assets. **14.5 No third-party beneficiaries.** These Terms do not give rights to anyone other than you and Tena & Fura, except the persons named in Sections 9 and 10. **14.6 Export and sanctions.** You may not use the Site if you are located in a country subject to a U.S. government embargo or are on a U.S. government list of prohibited or restricted parties. **14.7 Interpretation.** Headings are for convenience only. “Including” means “including without limitation.” ## 15.
